1. AGREEMENT TO TERMS

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User" or "you") and Wag3s VER ("Company", "we", "us", or "our") governing your use of the Wag3s platform and related services ("Platform" or "Services").

By accessing, registering for, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, including our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you may not access or use the Platform.

2. ELIGIBILITY AND ACCOUNT REGISTRATION

2.1. Age Requirement. You must be at least eighteen (18) years of age and possess the legal capacity to enter into binding contracts to use the Platform.

2.2. Account Creation. The Platform supports decentralized identity registration using blockchain wallet connections. By connecting your wallet, you create an account ("Account") subject to these Terms.

2.3. Account Security. You are solely responsible for maintaining the confidentiality of your Account credentials, including but not limited to wallet private keys, seed phrases, passwords, and other access information.

2.4. Account Responsibility. You shall be solely responsible for all activities occurring under your Account and shall notify us immediately of any unauthorized use.

3. SMART CONTRACT INTERACTIONS

3.1. Irreversibility. You acknowledge that transactions involving smart contracts are permanent and irreversible once executed on blockchain networks.

3.2. User Responsibility. You bear full responsibility for understanding smart contract functionality, gas fees, and transaction outcomes prior to execution.

3.3. No Liability. The Company shall not be liable for any losses, damages, or expenses arising from smart contract interactions or blockchain transactions.

4. SERVICES DESCRIPTION

4.1. Service Scope. Wag3s provides AI-powered financial services for Web3, including but not limited to cryptocurrency transaction processing, portfolio management, tax reporting, financial analytics, and related financial tools.

4.2. Service Availability. The Company reserves the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.

5. CRYPTOCURRENCY TRANSACTIONS

5.1. Transaction Processing. The Platform facilitates secure transactions involving various cryptocurrencies using blockchain technology. All transactions are recorded immutably on public blockchain networks.

5.2. Network Fees. You acknowledge that all cryptocurrency transactions are subject to network fees determined by respective blockchain networks and third-party service providers.

5.3. Transaction Finality. You understand that cryptocurrency transactions may be subject to delays, confirmations, and network congestion beyond the Company's control.

6. FEES, COSTS, AND PRICING

6.1. Fee Disclosure. All applicable fees, including but not limited to transaction fees, processing fees, exchange rates, and service charges, shall be disclosed to you prior to transaction execution.

6.2. Fee Modifications. The Company reserves the right to modify its fee structure with reasonable notice to Users.

6.3. Market Volatility. You acknowledge that cryptocurrency values are highly volatile and subject to market risks that may result in substantial financial losses.

7. COMPLIANCE AND REGULATORY REQUIREMENTS

7.1. Legal Compliance. You agree to comply with all applicable laws, regulations, and guidelines related to cryptocurrency transactions, including but not limited to anti-money laundering (AML), counter-financing of terrorism (CFT), and know-your-customer (KYC) requirements.

7.2. Taxation. You acknowledge that cryptocurrency transactions may have tax implications and that you are solely responsible for tax reporting and compliance.

7.3. Geographic Restrictions. The Services may not be available in certain jurisdictions due to regulatory restrictions.

8. PRIVACY AND DATA PROTECTION

8.1. Privacy Policy Incorporation. Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated by reference into these Terms and forms an integral part thereof.

8.2. Data Collection. We collect only the minimum personal data necessary to provide our services, including but not limited to wallet addresses, transaction records, and usage patterns required for service delivery and regulatory compliance.

8.3. Data Protection. We implement industry-standard security measures and blockchain technology to protect your data. However, you acknowledge that no method of data transmission or storage is 100% secure.

8.4. Blockchain Transparency. You acknowledge that certain information, including wallet addresses and transaction records, are publicly visible on blockchain networks.

9. USER CONDUCT AND ACCEPTABLE USE

9.1. Acceptable Use. You agree to use the Platform only for lawful purposes and in accordance with these Terms. You shall not use the Platform in any manner that could damage, disable, overburden, or impair the service.

9.2. Prohibited Activities. You shall not, directly or indirectly:

• Engage in illegal transactions, money laundering, terrorist financing, or fraudulent cryptocurrency activities
• Attempt to compromise platform security, reverse engineer, or interfere with service operations
• Violate applicable laws, regulations, or third-party rights
• Harass, abuse, or harm other users or the Company's personnel
• Transmit malware, viruses, or other harmful code through the Platform
• Use the Platform for activities that violate sanctions or export control laws

9.3. Consequences of Violation. Violation of these terms may result in immediate account suspension or termination, forfeiture of access to the Platform, and potential civil or criminal legal action.

9.4. Cooperation with Authorities. The Company reserves the right to cooperate with law enforcement agencies in investigating alleged illegal activities.

10. INTELLECTUAL PROPERTY RIGHTS

10.1. Company Ownership. All content, software, designs, trademarks, service marks, trade names, logos, patents, copyrights, and other intellectual property on the Platform are the exclusive property of Wag3s VER or its licensors.

10.2. Limited License. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal or business use in accordance with these Terms.

10.3. License Restrictions. You shall not:

• Copy, modify, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products or services obtained from the Platform
• Use any proprietary information, materials, or trademarks without express written consent
• Remove any copyright, trademark, or other proprietary notices from the Platform

10.4. User-Generated Content. You retain ownership of any content you submit to the Platform ("User Content"). However, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, and display such User Content for providing and improving our services.

10.5. Feedback. Any feedback, suggestions, or ideas you provide regarding the Platform shall become the exclusive property of the Company.

11. DISCLAIMER OF WARRANTIES

11.1. AS IS Basis. The Platform is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

11.2. No Guarantee. The Company does not guarantee that the Platform will be uninterrupted, secure, or free from errors, defects, viruses, or other harmful components.

11.3. Third-Party Services. The Company makes no representations or warranties regarding third-party services, blockchain networks, or external integrations.

12. LIMITATION OF LIABILITY

12.1. Liability Cap. To the maximum extent permitted by applicable law, Wag3s VER shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses.

12.2. Maximum Liability. In any event, the Company's total liability to you for all causes of action arising out of or related to these Terms or the Platform shall not exceed the greater of (a) $100 or (b) the fees paid by you to the Company in the six (6) months preceding the claim.

12.3. Cryptocurrency Risks. You expressly acknowledge and accept all risks associated with cryptocurrency transactions, including but not limited to market volatility, technical failures, regulatory changes, network congestion, smart contract vulnerabilities, and potential total loss of funds.

12.4. No Liability for Blockchain Transactions. The Company shall not be liable for any losses, damages, or expenses arising from blockchain transactions, including failed transactions, network issues, or third-party service failures.

13. AMENDMENTS TO TERMS

13.1. Modification Right. Wag3s VER reserves the right to modify these Terms at any time, at its sole discretion, with or without prior notice.

13.2. Notice of Changes. We will provide reasonable notice of material changes through the Platform, via email to registered users, or by other reasonable means.

13.3. Continued Use. Your continued use of the Platform following any modifications constitutes acceptance of the revised Terms.

14. GOVERNING LAW AND JURISDICTION

14.1. Governing Law. These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction to be specified], without regard to its conflict of law principles.
